These Terms are between PixelRidge Web, Nepal ("PixelRidge", "we") and the business that signs up ("Restaurant", "you"). By ticking "I agree" at sign-up you accept these Terms and the Data Processing Agreement (DPA).

1. What we provide

RidgeOrder is software: guest ordering by QR, kitchen and staff screens, bills, bookings, pickup, events and the extras you switch on. It is a tool. It is not a till, a payment service, tax or accounting software, or food-safety advice.

2. You are responsible for your business

You are responsible for:

  • Menu accuracy: dish names, descriptions, photos, options and allergen information (the 14 UK allergens and any local equivalent). You keep it correct and up to date.
  • Food safety and hygiene, licences and registrations.
  • Prices, discounts, service charges and tips, and showing them lawfully (in the UK, the DMCC Act 2024 rules on hidden charges).
  • Tax: VAT/HST/GST, receipts and your own records. We give you an export; we do not file or calculate tax for you.
  • Your guests: you are the controller of their data. You fill in the Legal details card so your privacy notice is complete, answer guest requests (we give you tools), and pay any data-protection fee your country requires (UK: ICO fee).
  • Your staff: their PINs, who has access, and showing them the staff notice.
  • Your devices and Wi-Fi.

We give you tools for this (allergen fields and warnings, Legal details card, Delete my data, exports). Using them is your due diligence. We do not check your menu or allergen data.

3. Acceptable use

You must not use RidgeOrder to: break the law; send marketing without consent; upload unlawful, misleading or infringing content; try to access other restaurants' data, attack, scan or overload the service; resell it without our written OK; or put card numbers, health records or ID documents in free-text fields.

4. Fees and trial

[Plan, monthly price, trial length: to be set]. Fees are paid in advance and are not refundable for part months, unless the law says otherwise. We give 30 days' notice of price changes. The monthly price of a plan does not increase for a restaurant while it remains subscribed to that plan.

5. Availability and support

We aim for [99.5%] monthly availability, excluding planned maintenance we announce in the app. Support by [ticket in the app], replies within [2 working days]. Keep a paper backup for outages.

6. Your data

Your menu, settings and business data stay yours. Guest and staff personal data are handled under the DPA. On exit you can export your data; we delete it within 30 days after, except what the law requires us to keep.

7. Suspension

We may suspend your account: for non-payment after 14 days' notice; at once if there is a security risk, illegal use or a serious breach of section 3. We tell you why and restore access when it is fixed. Every suspension is logged with a reason.

8. Liability

  • Nothing in these Terms limits liability for death or personal injury caused by negligence, for fraud, or for anything else the law does not allow to be limited.
  • Otherwise, each side's total liability in any 12 months is capped at the fees you paid in those 12 months.
  • Neither side is liable for indirect or consequential loss, lost profit, lost revenue or lost goodwill.
  • We are not liable for losses caused by your menu, allergen, price or tax data, your staff, your devices, or your internet connection.

9. Indemnity

You will cover our reasonable costs and losses from third-party claims (including guests and regulators) that arise from: your menu or allergen information, food you serve, your prices and charges, your marketing, or your breach of these Terms or of data-protection law as controller. We will cover yours from third-party claims that our software infringes their intellectual property, or that we broke the DPA.

10. Term and ending

Monthly, renewing automatically. Either side can end it with 30 days' notice in the app. We can end it at once for a serious breach not fixed within 14 days.

11. Changes

We give 30 days' notice of material changes in the app. You must re-accept the new version to keep using the service; if you do not agree, you can leave without a fee.

12. General

These Terms + DPA are the whole agreement. If one part is invalid, the rest stands. Neither side may transfer the agreement without consent, except to a buyer of the business. Notices by email to the addresses on file.

13. Governing law

Ontario, Canada, and the courts of Ontario, unless an addendum below says otherwise.

Country addenda

UK. If you are in the UK: the laws of England and Wales apply and its courts have jurisdiction. The International Data Transfer Addendum (UK Addendum to the EU SCCs) applies to any transfer of UK personal data to a country without UK adequacy. Nothing excludes rights under the Unfair Contract Terms Act 1977 that cannot be excluded.

EU. We do not accept EU restaurants yet. If we do: the law of [Ireland], EU Standard Contractual Clauses for transfers, and an EU representative if Art 27 GDPR requires one.

US. If you are in the US: we act as your "service provider" or "processor" under US state privacy laws (e.g. California CCPA/CPRA). We do not sell or share personal data, keep it for any other purpose, or combine it with other data, except as those laws allow. Governing law: Ontario, unless your state's law requires otherwise.

Canada. PIPEDA applies to guest data (Quebec: Law 25, before any Quebec restaurant signs up). Marketing messages follow CASL: express consent, sender ID, unsubscribe within 10 business days.
